Terms of Use

These Terms of Use ("Terms") govern your access to and use of stratalogic.io, the StrataLogic customer portal, and any other StrataLogic-operated web properties (collectively, the "Website"). StrataLogic LLC, an Indiana limited liability company headquartered in Bloomington, Indiana ("StrataLogic," "we," "our," or "us"), provides the Website.

By visiting the Website or creating a customer account, you agree to these Terms. If you do not agree, do not use the Website.

1. Relationship to the Product EULAs

These Terms cover the Website. Each StrataLogic product is additionally governed by its own end-user agreement, which you accept when you install or use that product:

  • PointScout Desktop -- End User License Agreement, presented during installation and installed at {app}\license\eula.txt.
  • PointScout Mobile -- Terms of Service, distributed inside the app and accessible from the "About" screen. Also references the PointScout Mobile Privacy Policy.
  • FieldIntel Server -- End User License Agreement, presented during installation and installed at {app}\assets\eula.txt.
  • FieldIntel Managed -- hosted service agreement, provided separately at contract signing.

Where these Terms and a product EULA both address the same topic (for example, limitation of liability), the product EULA controls for conduct within that product, and these Terms control for conduct on the Website. If the two appear to conflict, contact us and we will clarify.

2. Customer Accounts

Some areas of the Website (checkout, the customer portal, license management) require you to register an account. When you register, you agree that:

  • The information you provide is accurate and up to date.
  • You are responsible for maintaining the confidentiality of your password and for all activity under your account.
  • You will notify us promptly at support@stratalogic.io of any unauthorized access.
  • You will not impersonate another person or misrepresent your affiliation with any firm.

3. Subscriptions, Fees, and Taxes

3.1 Subscription Term

PointScout Desktop, FieldIntel Server, and FieldIntel Managed are offered on a subscription basis. Subscriptions are billed monthly or yearly (selected at checkout) and automatically renew for successive terms of the same length unless canceled in accordance with Section 3.4.

3.2 Fees and Price Changes

Current prices are posted at stratalogic.io/purchase and are charged in advance for each subscription term. We may change fees for future terms on at least thirty (30) days' written notice (via email or the customer portal). Price changes do not apply to terms already paid for.

3.3 Sales Tax

Prices shown are pre-tax. Applicable U.S. state and local sales tax is calculated and added at checkout based on your billing address and the tax classification of the product. The amount, jurisdiction, and rate appear on your Stripe checkout page and on the order confirmation email.

3.4 Cancellation

You may cancel your subscription at any time through the customer portal or by emailing support@stratalogic.io. Cancellation takes effect at the end of the then-current billing period; the product remains available for the remainder of the paid period.

3.5 Refunds

Subscription fees are non-refundable except as required by applicable law. No refund is provided for partial subscription periods, unused features, or early cancellation. If we materially and persistently fail to provide a product for an extended period due to causes within our reasonable control, contact us and we will consider a prorated refund for the affected period.

4. Acceptable Use

You agree not to use the Website to:

  • Violate any applicable law, regulation, or the rights of any third party.
  • Attempt to gain unauthorized access to the Website, any StrataLogic system, or any other account.
  • Probe, scan, or test the vulnerability of the Website, or defeat any security or authentication measure, except under an invited security-research program we may publish in the future.
  • Use automated means (bots, scrapers) to access the Website in a manner that imposes an unreasonable load on our infrastructure.
  • Upload or transmit any content that is illegal, defamatory, obscene, or infringing.
  • Send marketing, unsolicited commercial messages, or phishing content through any Website form or email we operate.

5. Intellectual Property

The Website, the Products, and all associated logos, trademarks, and content ("StrataLogic Materials") are owned by StrataLogic or our licensors. These Terms do not grant you any right in the StrataLogic Materials other than a limited, non-exclusive, revocable license to view the Website for your personal or business use in connection with evaluating or using the Products.

You retain all rights to the content and data you submit to the Website (for example, your profile information, demo form inputs, and any survey data you upload to PointScout Cloud or FieldIntel Managed). You grant us a limited license to use that content solely to provide the Products to you, as described in our Privacy Policy.

6. Professional Responsibility

The Products are tools to assist licensed surveying professionals. They are not a substitute for professional judgment. Automated features (quality-control alerts, outlier detection, coordinate transformations, AI-assisted extraction, Theo AI responses) are aids to professional review, not replacements for it. You are solely responsible for verification and validation of all results, and for compliance with licensing and professional-practice requirements in your jurisdiction.

7. Disclaimer of Warranties

THE WEBSITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, RELIABILITY, AND NONINFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE.

Additional warranty disclaimers specific to each Product are set out in that Product's EULA.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL STRATALOGIC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

STRATALOGIC'S TOTAL CUMULATIVE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO STRATALOGIC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR, IF YOU HAVE NOT PAID STRATALOGIC, ONE HUNDRED U.S. DOLLARS (US$100.00).

The limitations and exclusions in this section apply to the maximum extent permitted by applicable law and survive termination of these Terms.

9. Dispute Resolution

9.1 Governing Law

These Terms are governed by the laws of the State of Indiana, United States, without regard to conflict-of-law principles.

9.2 Binding Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the Website shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in Monroe County, Indiana, by a single arbitrator. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

9.3 Class Action Waiver

You and StrataLogic agree that each may bring claims against the other only in your or its individual capacity, and not as a plaintiff or class member in any purported class or representative proceeding.

9.4 30-Day Opt-Out

You may opt out of the arbitration provision in Section 9.2 and the class action waiver in Section 9.3 by sending written notice to support@stratalogic.io within thirty (30) days after your first acceptance of these Terms. Your notice must include your name, account email, and the phrase "I opt out of arbitration." Opting out does not affect any other provision of these Terms.

9.5 Exceptions

Notwithstanding the foregoing, either party may bring an individual action in small-claims court and may seek injunctive or equitable relief in any court of competent jurisdiction for infringement or misappropriation of its intellectual property rights.

10. Termination

We may suspend or terminate your access to the Website at any time, with or without cause, including if we reasonably believe you have violated these Terms. You may stop using the Website at any time. Sections 5, 6, 7, 8, 9, 10, 11, and 13 survive any termination of these Terms.

Product subscriptions are terminated separately according to the cancellation terms in Section 3.4 and the product EULAs.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email to the address associated with your account or by a prominent notice on the Website, at least thirty (30) days before they take effect. Continued use of the Website after the effective date constitutes acceptance of the updated Terms. If you do not agree to an update, your sole remedy is to stop using the Website and, if applicable, cancel your subscription in accordance with Section 3.4.

12. Entire Agreement; Severability; Assignment

  • Entire Agreement: these Terms, together with the Privacy Policy and any Product EULA you have accepted, constitute the entire agreement between you and StrataLogic regarding the Website and the Products, and supersede all prior agreements on the same subject.
  • Severability: if any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
  • Assignment: you may not assign these Terms without our prior written consent. We may assign these Terms to a successor in connection with a merger, acquisition, or sale of all or substantially all of our assets.
  • No Waiver: our failure to enforce any provision is not a waiver of our right to enforce it later.
